1. Acceptance
By accessing or using PAOLA ("the Platform", "we", "us", "our"), you accept these Terms and Conditions ("Terms") in full. If you do not agree, do not use the service.
These Terms constitute a binding agreement between you (the "Business" or "User") and PAOLA. If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of the service
PAOLA is a SaaS platform that provides an artificial intelligence agent to manage business conversations on WhatsApp, Instagram, and Messenger. Its features include, among others: automatic lead qualification, appointment scheduling, sales follow-up, and an analytics dashboard.
We reserve the right to modify, suspend, or discontinue any feature of the service with reasonable prior notice.
3. Registration and account
- You must provide truthful, complete, and up-to-date information when creating your account.
- You are responsible for keeping your credentials confidential and for all activity carried out under your account.
- Notify us immediately at hola@zerep.mx if you suspect unauthorized access.
- We reserve the right to suspend or cancel accounts that breach these Terms.
4. Permitted use and restrictions
You may use PAOLA only for lawful purposes and in accordance with these Terms. The following is strictly prohibited:
- Using the Platform to send spam or content that is misleading, unlawful, defamatory, obscene, or that infringes third-party rights.
- Attempting to gain unauthorized access to systems, data, or networks of PAOLA or third parties.
- Reverse engineering, decompiling, or modifying any part of the Platform.
- Reselling, sublicensing, or commercially exploiting access to the Platform without express authorization.
- Using the Platform in a way that violates Meta's policies (WhatsApp, Instagram, Messenger) or any applicable regulation.
5. Plans, payments, and cancellations
The prices, features, and conditions of each plan are described on the Pricing page. Payment is processed monthly or annually according to the selected plan.
- Charges are non-refundable except as expressly stated in our Refund Policy or as required by law.
- If a payment fails, we may suspend access until the outstanding balance is settled.
- You may cancel your subscription at any time; access will continue until the end of the paid period.
- We reserve the right to change prices with at least 30 days' notice.
6. Intellectual property
PAOLA and its licensors own all intellectual property rights in the Platform, including software, designs, trademarks, logos, and documentation. These Terms do not transfer any ownership rights to you.
You retain ownership of all content you upload or generate through the Platform ("User Content"). By doing so, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing the service.
7. Confidentiality and personal data
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. Both parties agree to keep confidential the non-public information they exchange during the contractual relationship.
8. Availability and SLA
We strive to maintain a monthly service availability of 99.5%. However, we do not guarantee uninterrupted availability. Interruptions may occur due to scheduled maintenance (with prior notice), force majeure, or causes beyond our reasonable control.
9. Limitation of liability
To the extent permitted by applicable law, PAOLA shall not be liable for indirect, incidental, special, punitive, or consequential damages, nor for loss of profits, data, or reputation, even if it has been advised of the possibility of such damages.
PAOLA's total aggregate liability to the Business shall not exceed the amount paid for the service during the three (3) months prior to the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless PAOLA, its officers, employees, and providers from any claim, damage, loss, or expense (including reasonable legal fees) arising from: (i) your use of the Platform in violation of these Terms; (ii) your User Content; or (iii) your infringement of third-party rights.
11. Changes to the Terms
We may update these Terms at any time. We will notify you by email or through a prominent notice on the Platform at least 15 days in advance. Continued use of the service after the changes take effect constitutes acceptance of the new Terms.
12. Termination
Either party may terminate the contractual relationship with reasonable prior notice. PAOLA may suspend or cancel your account immediately if: (i) you breach these Terms; (ii) your use jeopardizes the security or integrity of the Platform; or (iii) required by law.
Upon termination, your access rights will cease and we may delete your User Content in accordance with our retention policy.
13. Governing law and jurisdiction
These Terms are governed by the laws of the United Mexican States. The parties submit to the jurisdiction of the competent courts of Mexico City for the resolution of any dispute arising from these Terms, expressly waiving any other jurisdiction that may correspond to them.
